The five core features of company law

separate legal personality,
limited liability, centralized management, shareholder control, and
transferability of shares

book explains how these features are used to provide an organizational
structure for the conduct of business. The book also discusses the
legal strategies that can be used to deal with agency relationships
arising among shareholders, managers, creditors, and employees and
the trade-offs that have been made in British company law to reconcile
competing interests.

2006,

ing a new chapter on international company law which considers the
role of European Community Law, this new edition in the renowned

Paul Davies is Allen
&
Overy Professor of Corporate Law at the Uni¬
versity of Oxford and a Fellow of Jesus College. He was a member
of the British Government s Steering Group for the Company Law
Review
(1999-2001),
which led to the new Companies Act
2006.
He
is a Fellow of the European Corporate Governance Institute, and was
elected a Fellow of the British Academy in
2000;
an honorary QC in
2006;
and an honorary Bencher of Gray s Inn in
2007.
